GESSEL provided comprehensive legal services to Bank BGŻ BNP Paribas S.A., cooperating with Biuro Inwestycji Kapitałowych, in connection with its investment in CCIG Group Sp. z o.o. As a result of this transaction, Bank BGŻ BNP Paribas S.A. became a minority shareholder of CCIG Group, and the parties shall cooperate with a view to further growth of the group – also by way of issue of CCIG Group convertible bonds which shall be acquired by the Bank.

CCIG Group is a leading provider of call centre services in Central and Eastern Europe, operating over 3,000 work stations. Through its various subsidiaries, including Call Center Intergalactica Sp. z o.o. and Call Center Poland S.A., CCIG Group cooperates with some of the biggest entities in the telecoms, commercial, and energy sectors. CCIG Group specialises in outsourcing of sales services as well as support services (B2C and B2B).

GESSEL’s involvement in this project included drafting and negotiation of the key transaction documentation (the investment agreement, the shareholders’ agreement, and the share purchase agreement) and of the terms of the bond issue.
