GESSEL advised on execution of the agreement for sale of majority stakes in Inelo and OCRK to a fund managed by Innova Capital.

Inelo, based in Bielsko-Biała, is a producer of top-of-the-line software and electronic devices for analysing drivers’ working times and of a GPS tracking system designed expressly for the road haulage industry. Buyers of its software include Polish and foreign transport companies and motorway safety authorities. Inelo also provides training and consulting services for the transport industry. Among other accolades, it has received multiple Business Gazelle awards (2011-2016) and a Forbes Diamond award (2014).

Ogólnopolskie Centrum Rozliczania Kierowców (OCRK) is a modern outsourcing operation providing specialised services with respect to settlements with drivers and many related matters, such as maintenance of payroll and human resource documentation, representation in the course of inspections, and a 24/7 support hotline. From its headquarters in Bielsko-Biała, OCRK’s services cover all of Poland.

GESSEL’s services included drafting of the transaction documentation, negotiations, and support at closing. Implementation of the agreement will proceed upon obtainment of antitrust clearance.
