GESSEL advised CenterMed on the acquisition of CMP

GESSEL advised CenterMed, a Polish medical group developing a nationwide network of healthcare facilities, on the acquisition of Centrum Medycyny Profilaktycznej sp. z o.o. and its subsidiaries. CMP is a multispecialty healthcare provider operating five medical facilities in Krakow.

CMP provides primary healthcare, specialist outpatient care, occupational medicine, diagnostic imaging, rehabilitation and physiotherapy, mental health and addiction treatment, and dental services. Its services are provided both under contracts with the Polish National Health Fund and on a commercial basis.

The transaction forms part of CenterMed’s strategy to develop an integrated healthcare services platform. The acquisition of CMP strengthens CenterMed’s presence in Krakow and expands the Group’s offering in outpatient care, advanced diagnostics and rehabilitation.

This is another CenterMed acquisition on which GESSEL has advised. GESSEL previously supported CenterMed on, among other transactions, the acquisition of CenterMed Poznań, the AVIMED Group and NZOZ Partner.

GESSEL provided CenterMed with comprehensive legal advice on the transaction, including the due diligence review, the preparation and negotiation of the transaction documentation, the merger control proceedings before the Office of Competition and Consumer Protection (UOKiK), and assistance with completion.
