GESSEL advised Creotech Instruments on the spin-off of its quantum business and the WSE listing of Creotech Quantum

GESSEL advised Creotech Instruments S.A. on the spin-off of its quantum business and the listing of Creotech Quantum S.A. on the Main Market of the Warsaw Stock Exchange on 17 April 2026. The implied equity value at listing was approximately PLN 535,584,681.

The transaction was implemented by way of a demerger (division by separation) under the Polish Commercial Companies Code, involving the transfer of an organized part of the business of Creotech Instruments to Creotech Quantum in exchange for newly issued shares allocated to the shareholders of the demerged company. As a result, the quantum business was separated into an independent listed entity.

The process was accompanied by a public offering of shares in the acquiring company addressed to the shareholders of the demerged company. The listing was conditional upon the registration of the demerger and the share capital increase.

GESSEL advised on all key legal aspects of the transaction, including the structuring and implementation of the spin-off (carried out through a demerger), the regulatory framework for the listing and the preparation of the prospectus, as well as proceedings before the Polish Financial Supervision Authority, the Warsaw Stock Exchange and the National Depository for Securities.
