GESSEL advised on a non-prospectus public offering by cyber_Folks worth over PLN 200 million

GESSEL successfully advised cyber_Folks S.A., a dynamically growing technology group, on the public offering of 1,134,400 series E shares issued through an accelerated book-building process (ABB), without the need to prepare a prospectus or any other offering document. The value of the offering exceeded PLN 200,000,000.

The shares were offered to both Polish and international investors, including qualified U.S. investors pursuant to Rule 144A under the U.S. Securities Act of 1933, as amended.

“The completion of the series E issuance in such a short time and on such favourable terms is a clear signal of trust from the market, both from new investors and our existing shareholders. The funds raised will enable us to pursue ambitious acquisition plans and to further accelerate the process of building our position as a European leader in hosting, e-commerce, and digital services. This is only the beginning of an intensive growth journey that we are embarking on with full conviction and energy. Thanks to GESSEL’s support, we executed this process smoothly and with complete legal safety,” commented Robert Stasik, Vice-President of the Management Board of cyber_Folks.

“We are delighted to have supported cyber_Folks in a project of such scale and international reach, and to have cooperated with well-recognized investment banks – all in a positive atmosphere, despite the tight deadlines. The entire transaction was completed with full success, with the issue price discount versus the Warsaw Stock Exchange closing price on the day preceding the transaction amounting to less than 2%, which is a significant achievement. This transaction once again confirmed our strong skills in the capital markets space,” added Krzysztof Marczuk, Partner at GESSEL.

The investment firms acting as intermediaries in the offering were Biuro Maklerskie mBanku and Wood & Company.
