GESSEL advised its longstanding client Cavatina Holding S.A., one of the largest real estate developers in Poland, on establishment of the Fourth Base Prospectus Bond Issuance Programme. Under the Programme, the company may issue secured bearer bonds with a total nominal value of outstanding and unredeemed bonds not exceeding PLN 200,000,000 or the equivalent amount in euro.
GESSEL provided comprehensive legal support in structuring the Programme, drafting the legal and financial sections of the base prospectus, representing the Issuer in prospectus approval proceedings before the Polish Financial Supervision Authority (KNF), and advising on the Issuer’s disclosure obligations in accordance with capital markets regulations. The investment firm Noble Securities S.A. was the programme coordinator.
“The approval proceedings before the Polish Financial Supervision Authority were completed in a record time of just 25 business days. This is the fastest approval of this type of document in GESSEL’s history,” said Krzysztof Marczuk, Partner at GESSEL.
