GESSEL advised on the project involving the separation of Synektik S.A.’s biotechnology business and the listing of SYN2BIO S.A. on the Main Market of the Warsaw Stock Exchange, which took place on 15 April 2026. The company’s implied market capitalisation on the listing date, based on the reference price, amounted to approximately PLN 202,515,793.

The transaction was implemented by way of a demerger by spin-off and involved the transfer to SYN2BIO S.A. of the business related to the development and future commercialisation of a cardiac tracer – a radiopharmaceutical used in the diagnosis of heart disease. As a result, this business was separated into a standalone listed company.

The process was accompanied by a public offering of shares in the acquiring company addressed to the shareholders of the demerged company. The listing was conditional upon the registration of the demerger and the share capital increase.

GESSEL acted as one of the legal advisers on the project, advising Synektik S.A., SYN2BIO S.A. and mBank S.A. as the offering manager. GESSEL’s scope of work included the preparation and verification of the business and financial sections of the prospectus, as well as support in the approval proceedings before the Polish Financial Supervision Authority.
