GESSEL provided legal advice on a ground-breaking transaction which opens the way to consolidation of the private gastroenterology services market in Poland in which the ArKa family foundation, the majority shareholder, divested a 75% stake in Centrum Medyczne Med-Gastr sp. z o.o., a specialised medical facility providing gastroenterology services, to Tar Heel Capital (“THC”), a private equity fund focused on investments in the SME sector.
The new investor brings substantial experience in building medical entities at country level, and Med-Gastr joins the fund’s third consolidation platform in this sector. THC’s financial and strategic backing will support the clinic’s continued development and promote early diagnoses of colorectal cancer.
GESSEL’s team provided comprehensive legal support throughout the transaction. The project was a complex one, what with structuring the deal, supporting the due diligence process, and delivering legal and tax advice in connection with divestment of real estate assets. GESSEL also prepared and negotiated the transactional documentation, including post-closing corporate governance arrangements, securing the owners’ interests at every stage.
