GESSEL advised the owners of Betasi sp. z o.o., a Polish provider of advanced software solutions for resorts, hotels and medical spas, on the sale of a majority stake to Spire Capital Partners, a private equity fund focused on investments in fast growing companies operating in the tech-enabled services, software and e-commerce sectors.

This transaction furthers Betasi’s long term growth strategy, focused on scaling its business, developing an integrated HMS ecosystem, and strengthening its product offering, including mobile solutions and tools based on artificial intelligence.

GESSEL provided comprehensive legal advice covering, in particular, transaction structuring, negotiations of the Share Purchase Agreement and the Shareholders Agreement, and support throughout the signing and closing process.

“Completion of this transaction represents a natural continuation of a very intensive year in terms of mergers and acquisitions. We are pleased that the new year is beginning with the same level of momentum, and that clients continue to entrust us with leading key sale processes at pivotal moments for their businesses. In the case of the Betasi transaction, significant value was created through entry of an investor with a strong understanding of the specifics of developing technology-driven businesses who will actively support the company’s next stages of growth. For our team, this also meant a highly dynamic process, driven by the investor’s high standards and professional approach,” said Michał Bochowicz, Partner at GESSEL.

The sellers’ transaction advisor was mInvestment Banking S.A.
