GESSEL advised the selling shareholders on the sale of Centrum Diagnostyczno Lecznicze Barska sp. z o.o., a privately owned healthcare provider, to Unity Care sp. z o.o., a nationwide network of medical facilities backed by the private equity fund Enterprise Investors. The transaction involved the acquisition of an organised medical ecosystem comprising six facilities located in Włocławek and other municipalities in the Kuyavian-Pomeranian region.
The acquisition forms part of Unity Care’s strategy to consolidate the private healthcare services market in Poland and to further expand its network of specialist and primary healthcare facilities. For the selling shareholders, the transaction represented a significant milestone in the implementation of a long-term value creation strategy and the commercialisation of the business developed by Centrum Diagnostyczno Lecznicze Barska. GESSEL provided comprehensive legal advice throughout the process, including transaction structuring, negotiation of the transaction documentation and support through to closing.
“Transactions in the healthcare sector require a precise combination of regulatory, transactional and sector-specific expertise. The GESSEL team successfully guided the selling shareholders through every stage of the process, ensuring legal certainty and the efficient achievement of the agreed commercial objectives,” commented Marcin Macieszczak, Managing Partner.
