GESSEL provided legal advisory services to the Lithuanian shareholders, Ignas Rubežius, Ilma Nausedaite, and the company Ad Hoc Technologijos, UAB, in the sale of approx. 12.08% of shares in Vercom S.A. through an accelerated bookbuilding (ABB) transaction valued at nearly 300 million PLN.
The public offering was directed primarily to international and Polish institutional investors. Erste Group Bank AG, headquartered in Vienna, acted as the global coordinator of the offering, while Erste Securities Polska served as the local coordinator.
The closing of the transaction was preceded by the liquidation of the Lithuanian company ITEMA Ventures, UAB, owned by Ignas Rubežius and Ilma Nausedaite, during which the Vercom S.A. shares were transferred to the individual shareholders.
