GESSEL advised Resi Capital on a public offering of PLN 35 million Series F secured bonds

GESSEL advised Resi Capital S.A., a residential developer focused on the premium and higher-standard residential segments, on the public offering and issuance of Series F secured bearer bonds with an aggregate nominal value of PLN 35 million.
The bonds were offered under Resi Capital’s first prospectus-exempt bond issuance programme pursuant to an information memorandum. Together with the previously issued Series E secured bonds with an aggregate nominal value of PLN 165 million, the Series F issuance brought the aggregate nominal value of bonds issued under the programme to PLN 200 million.
Resi Capital intends to apply for the admission of the Series F bonds to trading on the Catalyst Alternative Trading System operated by the Warsaw Stock Exchange.
GESSEL’s work included transaction structuring, preparation of the offering and issuance documentation, and advice on matters relating to the establishment of security.
The offering was conducted through Trigon Dom Maklerski S.A., which also acted as the programme arranger, and Noble Securities S.A., which acted as co-offering agent for bonds issued under the programme.
