GESSEL advised TEP Capital, a Poland-focused private equity investor, on the indirect acquisition of 100% of the shares in Kutno-based FOL-POL sp. z o.o. through its portfolio company United Flexibles sp. z o.o.
FOL-POL manufactures polyethylene films and flexible plastic packaging for customers across Poland and European markets. Following completion of the transaction, FOL-POL joined Nicator Films and ELA Folie within the United Flexibles group.
GESSEL acted as legal counsel to the buyer. The firm advised on legal due diligence, transaction documentation, merger control and acquisition financing matters.
