GESSEL advised the founders of Klinika Miracki on the transaction with MCI Capital

GESSEL advised the founders of Klinika Miracki sp. z o.o., one of Poland’s leading aesthetic medicine clinic networks, in connection with the sale of shares in the company to MCI.PrivateVentures FIZ, acting for the account of the MCI.EuroVentures 1.0 subfund.

The parties entered into a conditional preliminary share purchase agreement on 22 September 2026. Completion of the transaction is subject to the satisfaction of an agreed condition precedent.

Following completion, the founders will remain significant shareholders in Klinika Miracki and will continue to be actively involved in the company’s management and development. Karina Dudek Miracka will remain as CEO, and Dr Krzysztof Miracki, as Chief Medical Officer, will remain responsible for the medical operations of Klinika Miracki.

Klinika Miracki operates seven clinics in Warsaw, Kraków, Katowice and Łódź, providing services across aesthetic medicine, laser therapy, plastic surgery and cosmetology.

GESSEL advised the founders on all legal aspects of the transaction, including the reorganization of the business, drafting and negotiation of the transaction documentation and the arrangements governing the founders’ continued involvement in the business following completion.
