GESSEL advised the LUX MED Group on the acquisition of the Mental Path Group network of psychotherapy centres

GESSEL advised LUX MED, a leading provider of private healthcare services in Poland, on the acquisition of the Mental Path network of psychotherapy centres. Pursuant to the agreement signed on 6 November 2025, seven Mental Path facilities located in Warsaw, Kraków, Katowice, Sopot and Rzeszów joined LUX MED.

Mental Path is a dynamically developing network of mental health centres employing over 200 experienced specialists, including psychotherapists, psychologists and psychiatrists, providing services to both individual and corporate clients.

The acquisition marks another step in LUX MED’s long-term strategy to strengthen and expand its mental health services. As a result of the transaction, the Group will double the scale of its offer in this area, bringing together experts and infrastructure from Mental Path and LUX MED’s existing Harmonia Mental Health Clinics. The project forms part of a broader plan to enhance the Group’s portfolio of specialised medical services.

This marks the 18th transaction in which GESSEL has had the pleasure of advising LUX MED, a partnership that reflects our shared commitment to advancing the healthcare sector in Poland.

GESSEL provided comprehensive legal support throughout the process, including legal due diligence, preparation and negotiation of transaction documents, and coordination of the closing.
