GESSEL advised MEWO S.A. and its shareholders on Vinci’s PLN 62.5 million investment in MEWO. Vinci is an investment fund within the group of Poland’s state development bank, BGK. The transaction was completed following clearance from the President of the Office of Competition and Consumer Protection.

MEWO is a leading independent provider of offshore survey and engineering services in Poland, active in the European offshore market for more than a decade. The company provides geophysical, geotechnical and environmental surveys, as well as subsea infrastructure inspection services, to projects across the offshore energy sector, including oil and gas, renewable energy and seabed survey projects. The company operates with a team of approximately 200 specialists and dedicated survey and technical capabilities.

The investment supports MEWO’s further development as a specialised business operating at the intersection of offshore energy, advanced survey services and critical infrastructure monitoring. The PLN 62.5 million investment is intended to support, among other things, the doubling of MEWO’s survey vessel fleet to six units, investment in next generation specialist equipment and the development of digital infrastructure. To date, MEWO has completed more than 125 survey and measurement projects in the Baltic Sea with an aggregate value exceeding PLN 750 million.

GESSEL provided comprehensive legal advice to MEWO and its shareholders in connection with the equity investment by Vinci, including transaction structuring, the preparation and negotiation of the investment agreement and shareholders’ agreement, and support with the satisfaction of conditions precedent and closing of the transaction.
