We advised Pure Biologics S.A.

Pure Biologics S.A. is a company listed on the Warsaw Stock Exchange (GPW), and its shareholder, Filip Jeleń, in a transaction involving the acquisition of a new investor – Michał Lach, co-founder of ventures such as Audioteka. The transaction entails sale of a block of shares in the company by Filip Jeleń to the investor, coupled with Filip Jeleń’s reinvestment of the proceeds from the sale back into the company. Additionally, the transaction terms define the terms of the investor’s capitalization of the company to finance key projects in the field of immuno-oncology.

Our advice included structuring the transaction, preparing and negotiating the transaction and corporate documentation, and fulfilment of disclosure obligations by the company and the shareholder. An aspect of the transaction worth noting is its speed – the deal was completed within just one week.
