GESSEL Law Firm as legal advisor to a Senetic group shareholder in a transaction with a consortium of investors: Euvic, Gemini Holding, and Hyperr.

We are pleased to announce that we advised a shareholder of Senetic Holding S.A. in the closing of the transaction involving the sale of shares in Senetic Holding to a consortium of investors including Euvic, Gemini Holding, and Hyperr.

Our advisory services included, among others, developing the transaction structure, negotiating the transaction terms, preparing the shareholders’ agreement, as well as providing support during the transaction closing.

The project was handled by Karol Sokół, partner, along with Michał Osowski, managing associate, Damian Bednarczyk, senior associate, and Zuzanna Sójka, junior associate. Antitrust advice was provided by Karolina Krzal-Kwiatkowska and Natalia Leśna, while tax-related aspects were handled by Inarda Bielińska and Michał Brągiel.

It manages the Gemini Park network, which includes facilities in Bielsko-Biała, Tarnów, and Tychy, with a total area of 132,000 m². The company has collaborated with many well-known brands such as Carrefour, Lidl, and McDonald’s, and has received numerous industry awards.

Hyperr Sp. z o.o. operates as an investment vehicle created by a group of entrepreneurs with experience in technology and influencer marketing. Hyperr engages in investments in the new technology sector, as confirmed by its involvement in the Senetic Holding S.A. transaction. The company was registered at the end of 2021 and is also involved in management activities and consulting related to financial intermediation.
