Beata Gessel-Kalinowska vel Kalisz, managing partner of GESSEL, gave a lecture (on 7 April) for students at the University of Warsaw’s law department as part of our firm’s cooperation with the Youth Forum of the Polish Confederation of Private Employers Lewiatan.

In her lecture, Beata Gessel presented “Comments to Negotiation of M&A Contracts”, providing a brief overview of different kinds of M&A transactions, the basic transaction documentation, the legal characteristics of the term sheet as well as its typical elements, and the structure of a typical investment agreement before proceeding to negotiation issues. At various points in her lecture, Beata Gessel cited examples from her own experience, and she provided practical advice to beginner negotiators. At the end of the session, Beata Gessel and the students discussed the current situation in the M&A market in Poland and in the Central and Eastern European region.

Within the framework of its cooperation with the Youth Forum of the Polish Confederation of Private Employers Lewiatan, the GESSEL law firm contributes to the Entrepreneurship Academy project which strives to propagate knowledge of entrepreneurship and business culture in academic circles. The session at the University of Warsaw which featured Beata Gessel’s lecture was organised by Ius pro Oeconomiae, the academic society for law and the economy.
