GESSEL supported Asist sp. z o.o. and its founder, Rafał Ćwikliński, on a sale of shares to PIB Agency – a member of the PIB group, a European leader in insurance and brokerage intermediation.
Our comprehensive legal support package included negotiation of the investment agreement and of the various executory instruments (including security provisions and terms of the founder’s cooperation with the group going forward) as well as preparation of the signing. Finalisation of the transaction will be predicated upon obtainment of antitrust clearance from UOKiK, the Polish antitrust authority.
Asist Sp. z o.o. is a leading Polish insurance multi-agency, working with a nationwide network of 1,300 partners and with over PLN 320 mln in premiums channelled to various insurers.
The PIB group is a major player in the European agency and brokerage market, presently expanding its Polish presence through the WDB S.A. group.
