GESSEL is proud to have advised its Client of long standing, the Lux Med Group, on its recent acquisition of two dental clinics in Gdansk operating as the Mediss Dental Clinic (MDC).

Our support spanned due diligence, negotiations, preparation of the transaction documentation, and consultations concerning specialised aspects of the deal, right until closing.

Acquisition of the Mediss Dental Clinic marks another step towards strengthening Lux Med’s presence in the dental care market in the tri-city area of Gdansk, Gdynia, and Sopot. The current staff of MDC are presented with new career opportunities, continuing in their roles within a larger group.

Marcin Macieszczak, managing partner, bore overall responsibility for the project on GESSEL’s behalf. The due diligence was handled by Michal Boryczka, managing associate. The deal structure, negotiations and, generally, the transaction benefitted from input by Krzysztof Jasiński, managing associate, leading a team composed of Michał Wieliński, senior associate, Magdalena Mirkowska,, associate and Marcin Walczak.

The Mediss Dental Clinic is comprised of two professional facilities staffed by 20 qualified dentists and 30 support personnel, with a long track record in various fields of dental care, jaw surgery, orthodontics and prosthodontics.

The Lux Med Group, member of the international Bupa group, is a leader in the Polish private healthcare market. Lux Med provides its 2.6 million patients with a full range of healthcare services, relying on close to 20,000 employees working at 270 clinics of various sizes, 14 hospitals, and almost 3,000 cooperating entities. Its workforce of 17,500 people includes approximately 7,500 physicians and 4,000 auxiliary medical staff. Lux Med has been working with the Polish Hygiene Society on two projects aiming to promote dental health.
