GESSEL advises Anwim S.A. in a purchase of a 90% stake in The Fuel Company Holding BV

GESSEL supported Anwim S.A., operator of the MOYA petrol stations network, on its acquisition of a 90% stake in the Dutch company The Fuel Company Holding BV, to be finalised by early 2022 (upon fulfilment of certain conditions laid down in the share purchase agreement).

To quote from the announcement on Anwim’s own website, “our acquisition of The Fuel Company Holding BV is certain to be another milestone in the development of Anwim S.A.”. Relying on the newly acquired TFC, Anwim S.A. will be in a position to extend its outreach and to enlarge the catalogue of services offered to its fleet customers (via the MOYA Firma programme), who will now be able to use their MOYA cards to pay at filling stations and toll booths in many European countries and to streamline VAT and excise refunds for fuel purchased abroad.

GESSEL lawyers advised Anwim S.A. on the due diligence process and on drafting, negotiation, and signing of the SPA as well as of the shareholders agreement with the minority shareholder, The Fuel Company Holding. GESSEL also coordinated the work of Anwim S.A.’s legal advisors in Holland, Belgium, and Portugal.

Anwim S.A. operates a network of over 350 petrol stations under the Moya brand (including approximately 80 own locations). Apart from selling fuel, the Moya locations feature the company’s Caffe MOYA food counter, a convenience store, a car wash, and facilitations for business customers. Anwim S.A. is a portfolio company of the Enterprise Investors fund.

The Fuel Company is a Dutch operator of fleet cards for international transport, assisting in hassle-free settlement of haulage-related costs in 18 countries around Europe. TFC also offers electric vehicle charging via a charging station network covering 46 countries.
