GESSEL advises Decora S.A. on buy-back of its own shares

GESSEL provided legal support to Decora S.A. on the tender for its own shares announced by Decora S.A. with its shareholders, Włodzimierz Lesiński and Marzena Lesińska, through the brokerage arm of Santander Bank Polska S.A. on 12 September 2018. The operation was completed and settled for on 18 October 2018.

GESSEL was responsible for all aspects of the tender, including preparation of the transaction documentation (the tender), drafting of the agreement between the company and the shareholders pursuant to which they would jointly purchase shares under the tender and all the relevant corporate documents for the company’s general meeting, directors and supervisory board. GESSEL also advised on negotiations concerning the bank guarantee agreement and the credit facility as well as on discharge of reporting duties.

For GESSEL’s part, the transaction was supervised by Krzysztof Marczuk, partner; the project team was composed of advocates Magdalena Szeplik and Michał Szutenbach.
