GESSEL advises Linetech Holding S.A. on its purchase of a 100% stake in Adria Airways Tehnika d.d. of Slovenia

Linetech Holding S.A. is a leading Polish provider of ground maintenance for aircraft (referred to in the industry as MRO – maintenance, repair and operations ), performing regular technical checks as well as structural repairs. Adria Airways Tehnika d.d. is a leading MRO provider in Slovenia. From the perspective of Linetech, its acquisition of Adria Airways Tehnika is a key element of its broader strategy geared at establishing Linetech as a Europe-wide MRO leader. Apart from that, this is the first transaction ever in which a Polish company has taken over an international MRO entity. On the Slovenian side, the acquisition of Adria Airways Tehnika by Linetech Holding S.A. is a notable privatisation; Adria Airways Tehnika was hereto owned – through Slovenian Sovereign Holding – by the Slovenian state and by Aerodrom Ljubljana, d. o. o., operator of the country’s principal airport.

GESSEL has advised Linetech Holding S.A. on all successive stages of the transaction, comprising coordination of the work of local advisors performing legal, financial, and tax due diligence, notification of the proposed transaction to the Slovenian competition authority, drafting and negotiation of the transaction documentation, support in obtainment of financing for the deal, and ongoing advice up to (and including) the closing in Ljubljana.
