GESSEL advises Polski Bank Komórek Macierzystych on the preliminary share purchase agreement re Sorgente

Polski Bank Komórek Macierzystych has executed a preliminary share purchase agreement pursuant to which it is to acquire a 53% stake in the share capital of Sorgente s.r.l. of Milan for the aggregate price of EUR 420,000 (ca. PLN 1.9 mln), subject to possible increase through operation of an earn-out mechanism referring to the company’s final results for 2020.

The transaction’s completion is subject to a condition precedent comprised in obtainment of official permission from the office of the Italian Prime Minister. The process of integrating Sorgente within the PBKM capital group is expected to take between 18 and 24 months.
