GESSEL advises Polimex Mostostal S.A. on its takeover of Instal-Lublin S.A.

GESSEL provided comprehensive legal advice to Polimex Mostostal S.A. on its acquisition of a 100% stake in Instal-Lublin S.A., a transaction which expands its capital group’s offering to include installation services.

Polimex-Mostostal purchased 100% of the company’s shares from the receiver of PartnerBud in bankruptcy for PLN 1.22 mln.

GESSEL’s services included due diligence, preparation of the transaction documentation, negotiations, and closing.

Polimex-Mostostal S.A. is an engineering and construction operation in existence since 1945. Together with other members of the Polimex group, it acts as general contractor in construction projects in areas such as energy, chemistry, refining and petrochemicals, and environmental protection.

Instal-Lublin S.A. is one of Poland’s largest installation outfits, performing design and installation works (heating, ventilation, and air conditioning, plumbing and sewage) for industrial, residential, and office buildings.
