GESSEL advises Polski Bank Komórek Macierzystych on the preliminary agreement for purchase of shares in the German company eticur)

Polski Bank Komórek Macierzystych, the company InGeneron, and a natural person have executed a preliminary share purchase agreement concerning acquisition of a 100% stake in eticur) along with receivables vis a vis this company.

Completion of the transaction remains subject to fulfilment of certain conditions precedent, which include repayment by eticur) of some of the loans extended by the seller and obtainment by PBKM of permission from PKO BP, its financing bank.

GESSEL supported PBKM in various aspects of drafting, negotiation, and signing of the transaction documentation.
