GESSEL advises on the purchase of Bezgluten by Bounty Brands

GESSEL has advised on the transaction for purchase of Bezgluten, the Polish producer of gluten-free foods, by the Bounty Brands group controlled by Coast2Coast of South Africa.

GESSEL provided comprehensive support at all stages of the transaction. In particular, our lawyers prepared the legal structure of the transaction, performed due diligence, drafted the transaction documentation, participated in the negotiations and assisted in fulfilment of the conditions precedent. GESSEL was also involved in obtainment of debt financing for the transaction.

Bounty Brands Holdings Limited is a group active in the FMCG sector, with a portfolio of leading brands distributed in over 40 countries. Its majority shareholder is Coast2Coast, the South African private equity fund.

BEZGLUTEN s.c. is a producer and distributor of low-phenylalanine and gluten-free foods; in the latter category, it ranks as the second-largest player in Poland. Its product range comprises various breads and pastries, noodles, flour, baking powder, snacks, flakes and assorted ready-to-eat meals.
