GESSEL has advised AVALLON on its purchase of a majority stake in EMERSON Direct Communication, a company specialising, among other activities, in planning and servicing of promotional mailing drives and in digital distribution and archivisation.

EMERSON Direct Communication Sp. z o.o. is one of the few entities in its sector providing a one-stop shop for its clients. It handles everything from formulation of a marketing concept through to copyrighting, visual and technical preparation of media, data base processing, and programming, on to actual production, distribution, and reporting. Following its separation from Emerson Polska, it has become the largest lettershop in Poland and a prominent player in the region.

AVALLON, active since 2001, is a pioneer in the Polish management buy-out market. It is backed by a number of international financial institutions, including the European Bank for Reconstruction and Development and funds managed by the Swiss firm Akina Partners.

GESSEL’s contribution to the transaction comprised legal services on the AVALLON MBO FUND II side including, in particular, due diligence, drafting and negotiation of the transaction documentation, advice on obtainment of antit rust clearance for the transaction, and the closing.
