GESSEL provides comprehensive legal and tax advice during Nextline’s investment in MotionVFX

GESSEL had been retained by the owner of MotionVFX to advise on the process of sale of the business to Nextline. This was the first Polish transaction involving a search fund – an entity performing a management buy-out with the support of global investors.
GESSEL advised on all the legal and tax aspects of the project, including design of the underlying transaction structure and negotiations.
The lawyers involved included Michał Bochowicz, managing associate and Weronika Zdeb, senior associate, with Piotr Tracz, Katarzyna Matyszewska and Aleksander Nicałek contributing. Inarda Bielińska, of counsel and Katarzyna Lisowska, senior associate were responsible for the tax aspects. The partner with overall responsibility for the project was Małgorzata Badowska.
MotionVFX is a global leader in creation of templates and plug-ins for Final Cut Pro and for Apple Motion.
Nextline, established by Andrzej Basiukiewicz and Wojciech Korpal, is the first Polish search fund.
