GESSEL supports OEX S.A. in its share buy-back

GESSEL advised OEX S.A. and its majority shareholders in their tender for 100% of the company’s shares, announced for the purpose of delisting OEX S.A. from the Warsaw Stock Exchange.

GESSEL’s package of legal services covered the transaction proper as well as the securities law and public markets aspects of the operation. Our lawyers drafted joint investment contracts and the full set of documents required under the Public Offering Act, also as regards discharging the company’s disclosure duties. GESSEL supports their Clients in the course of transactions, including tender procedures and proceedings before the Polish Financial Supervision Authority.

Santander Biuro Maklerskie was the brokerage house intermediating in the transaction.

The capital markets dimension of the project was handled by Tomasz Drągowski, of counsel, and the transaction aspect – by Krzysztof Jasiński, managing associate, working with the associates Magdalena Mirkowska and Edyta Mastalerek. The competition law aspect was attended to by Karolina Krzal-Kwiatkowska, managing associate. The partner with overall responsibility on GESSEL’s side was Marcin Macieszczak.

OEX S.A. was first listed on the Warsaw Securities Exchange in 2005.
