In 2025, GESSEL successfully advised on ten mergers and acquisitions transactions in the healthcare sector. The mandates covered advisory services on both the sell side and the buy side for clients including industry groups and ownership and management teams, confirming the firm’s well-established position as one of the leading legal advisers in Healthcare M&A on the Polish market..
Among the transactions completed in 2025, GESSEL advised the sellers on divestment of a majority stake in Centrum Medyczne Med-Gastr to the private equity fund Tar Heel Capital as well as on the sale of 100% of the shares in Centrum Diagnostyczno Lecznicze Barska, along with its subsidiaries, to Unity Care. The firm also acted on the buy side for CenterMed on acquisitions strengthening the group’s medical platform, including those of CenterMed Poznań and of the AVIMED Group.
A significant project of the firm in 2025 comprised advising the LUX MED Group on the acquisition of the Mental Path network of mental health centres and of the Medical Magnus Clinic orthopaedic hospital. These projects constituted a continuation of GESSEL’s long-standing cooperation with the LUX MED Group, now well past the ten-year mark, within which the firm advised on a total of eighteen acquisitions involving companies and real estate assets in the healthcare sector. The long-term nature of this cooperation reflects the client’s trust in the GESSEL team and testifies to the firm’s experience in executing complex Healthcare M&A transactions.
The completed transactions reflect prevailing market trends, including consolidation of private healthcare providers, development of specialised medical platforms, and growing interest in the sector among both financial and strategic investors. True to form, GESSEL provided comprehensive advice covering transaction structuring, legal and tax due diligence, preparation and negotiation of transaction documentation, and support throughout the closing process, all tailored to the regulatory and operational specifics of medical businesses.
GESSEL’s advisory work on these transactions was underpinned by a sector-focused approach developed through extensive experience in Healthcare M&A.
