Until such a time as voting at general meetings via online facilities is provided for in applicable laws, a shareholder must attend the general meeting personally or delegate a representative. Yet observation of various general meetings leads to the conclusion that, in practice, minority shareholders are sometimes lost and confused by the proceedings, writes Leszek Koziorowski, partner in GESSEL.
