Crossborder transformation of a company

Krzysztof Jasiński’s article on this subject appears in the newest issue of Europejski Przegląd Sądowy (11/2019). 

In his text, our GESSEL colleague tackles what has proved to be contentious issue in European legal doctrine, viz crossborder transformation of a company established in one European Union state into a company in a receiving member state. He discusses the relevant EU law as well as national laws as well as positing practical suggestions concerning construction of Polish law so as to enable such a restructuring process. In his view, crossborder transformation ought to be recognised as a bona fide institution of European Union law.
