De lege ferenda remarks regarding a limited liability company

Krzysztof Jasiński’s article “De lege ferenda remarks regarding a limited liability company” appears in the newest issue of Radca Prawny. Zeszyty Naukowe (nr 3(24)/2020).

This study refers to certain new regulations introduced into the Polish legal system in connection with the implementation of amendments to the Polish Code of Commercial Companies which govern a simple joint stock company. The author points out the reasonableness of using the developed solutions not only for a simple joint stock company, but also for a limited liability company. The author presents a proposal of a number of regulatory changes to a limited liability company, which would allow to modernize the principles of its operation and make it more adjusted to the requirements of the modern trade, basing on the solutions already applied in relation to a simple joint stock company.
