GESSEL as advisor to Enterprise Investors on its purchase of shares in 3S S.A.

GESSEL has provided legal services to Polish Enterprise Fund VII (PEF VII), a private equity fund managed by Enterprise Investors, on its PLN 86 million transaction for purchase of a 76% stake in 3S S.A.

3S S.A. is a telecoms company active in the south of Poland. The 3S S.A. corporate group also includes 3Services Factory S.A., a provider of data centre services, and SGT S.A., a TV company.

Enterprise Investors, active since 1990, is one of the largest private equity and venture capital firms in Central and Eastern Europe, manager of eight funds with aggregate capital in excess of EUR 2 billion.

GESSEL’s contribution to the transaction comprised legal services on the Enterprise Investors side including, in particular, due diligence of the 3S S.A. group companies, drafting and negotiation of the transaction documentation, and advice on obtainment of antit rust clearance for the transaction.
