Back Door, or Front Door to the Stock Exchange ?

Going public by way of a merger with a publicly traded company is less expensive and less complicated than a traditional IPO. A manoeuvre along these lines is observed with increasing frequency in the Polish market. Are price and time the only motivations for a back-door entry to the stock exchange ?
