GESSEL advises Bank BGŻ BNP Paribas S.A. on its investment in the TLC Group

GESSEL provided comprehensive legal support for Bank BGŻ BNP Paribas with regard to its investment in the TLC Group. Our lawyers were involved in all stages of the transaction, performing due diligence of the target and drafting and negotiating the key transaction documentation, including the investment agreement, the shareholders agreement, the bond issue terms, and the security documentation.

Consequent to this investment, BGŻ BNP Paribas became a minority shareholder in the TLC Group, and the parties undertook to cooperate towards its further growth.

The TLC Group produces and rents steel elements and structures, including stairs, balustrades, stairwells, ladders, temporary fencing / hoarding, steel platforms, and slurry walls. The TLC Group is one of the market leaders in Poland, and the present investment will facilitate further expansion of the company.

Bank BGŻ BNP Paribas, a member of one of Europe’s largest banking groups, effectuated its investment in the TLC Group through its Capital Development Bureau, a unit specialising in acquisition of minority stakes in Polish enterprises.
