GESSEL advises Polski Bank Komórek Macierzystych on another transaction

GESSEL supported Polski Bank Komórek Macierzystych S.A. (PBKM) on its acquisition of minority stakes in two stem cell banks in the Czech Republic (Rodinná banka perinatálních a mesenchymálních buněk s.r.o. of Ostrava) and in Slovakia (Rodinná banka perinatálnych a mezenchymálnych buniek s.r.o. of Bratislava).

The share purchase agreement was coupled with an investment agreement regulating the terms of PBKM’s commitment to the Czech and Slovak entities, also as regards the possibility of future increase of PBKM’s stakes.

GESSEL attended to various aspects of the transaction at its successive stages, in particular preparation of the transaction documentation and coordination of the work of PBKM’s Czech and Slovak counsel. Our team was comprised of Dr Bartłomiej Woźniak, managing associate and Diana Strzałkowska, associate, with Maciej Kożuchowski, partner supervising the whole.

Polski Bank Komórek Macierzystych, the principal entity of the international FamiCord group, is the largest stem cell bank in Europe. Its operations centre on collection, processing, and long-term storage of stem cells derived from umbilical blood and related tissues.
