How do you go about filling out the insider list ?

In the context of our firm’s reviews verifying due performance of disclosure duties by issuers of securities, we struck upon the idea of putting together a user-friendly set of instructions on how to fill out the list of insiders. On the face of it, the idea is admittedly odd – there is a single, seemingly straightforward template for the list. Our practice, however, indicates that this innocuous-looking template generates no end of grief for issuers !  Accordingly, we bring to you not only the cut-and-dry instructions which may be gleaned from applicable laws, but also notes informed by practical experience which, we hope, will aid in their correct interpretation.
