We advised Selsey on its investment by Wirtualna Polska Media

We advised Selsey Sp. z o.o. on its investment by Wirtualna Polska Media S.A., part of the Wirtualna Polska Holding S.A. group. As part of the transaction, the merger of Selsey with Homebook Sp. z o.o., from the portfolio of the Wirtualna Polska Holding S.A. group, was agreed.

The legal advisory was of a comprehensive nature and covered, among others, the negotiation of the share sale agreement and the shareholders’ agreement, as well as implementation documents, including those regulating the principles of further cooperation between the parties, and the realisation of the signing and closing of the transaction.

The project was supervised and led by Michał Bochowicz, partner, attorney-at-law with the support of Edyta Podgórska, senior lawyer, legal counsel. The transaction team was also composed of Barbara Załęcka, senior lawyer, legal counsel, Michał Osowski, managing associate, legal counsel and Maria Kozłowska, lawyer. Tax advisory matters were supervised by Dominika Ramirez-Wołkiewicz, partner, legal advisor and tax advisor with the support of Michał Brągiel, senior lawyer, advocate.

Selsey is a company founded in Wrocław in 2013. Its online shop offers more than 20,000 different products and employs more than 170 people. In addition to the online shop, the company operates two stationary stores – in Warsaw and Wrocław.

Wirtualna Polska is a technology holding company and is active in media, advertising and e-commerce. In September 2022, the company’s websites and services were used by 22 million Poles. Since 2015, Wirtualna Polska Holding S.A. has been listed on the Warsaw Stock Exchange.
