Advises on various transactions in which equity financing and/or debt financing is obtained by way of financial instrument issues (bonds, shares, convertible instruments) on the public and private markets – in Poland and, with regard to some aspects, also in international markets. Assists in preparing companies for initial public offerings on the Warsaw Stock Exchange – on its main floor as well as the NewConnect and Catalyst alternative trading systems – with respect to due diligence, drafting the issue prospectus and other requisite documentation, and corporate restructuring geared at streamlining the company from a capital markets perspective.
Advises on transactions involving large blocs of publicly traded shares (including public tender announcements and ABB and OTC transactions), secondary public offerings, subscription warrant issues, private share placements, transfer of shares from NewConnect to the main floor of the Warsaw Stock Exchange, and on delisting and share dematerialisation. Represents clients in proceedings before the National Securities Depository and the board of the Warsaw Stock Exchange.
Also advises on general company law issues, corporate transformations, mergers and demergers, establishment of corporate holding structures, share buy-backs and squeeze-outs, share redemptions, share capital reductions, and share conjoining. Assists in devising incentive schemes for management, especially ones involving issues of shares, subscription warrants, or bonds with priority rights in the context of conditional share capital increases.
Provides day-to-day advice for listed companies on performance of the information duties incumbent upon them under the Market Abuse Regulation, Polish securities law, and under Warsaw Stock Exchange, NewConnect and Catalyst rules.
Advises investors, investment firms, and fund associations on all regulatory matters pertaining to obtainment of licenses and expanding their scope; represents clients in administrative proceedings before the Polish Financial Supervision Authority.
Gained experience in the Legal Department and the Financial Instruments Department of the Polish Securities and Exchange Commission and in the Issuers Department of the Polish Financial Supervision Authority (contributing to legislative work, also on amendments to the Public Offering Act – one of the cornerstones of the Polish securities market) before joining GESSEL in 2007.
Graduate of the Faculty of Law and Administration at the Catholic University of Lublin. Completed training articles as a public prosecutor, admitted to practice as an attorney in 2009.
In 2017, the exit by Enterprise Investors from its investment in PBKM by way of an IPO on the Warsaw Securities Exchange, with a GESSEL team led by Krzysztof Marczuk acting as counsel, was recognised as VC Exit of the Year in the “Private Equity Diamonds” competition.
