Our lawyers provided legal support to Sescom S.A. in its acquisition, through a subsidiary, of a 100% stake in the English company PCB Technical Solutions Limited.
Our brief included coordination of the due diligence of PCB Technical Solutions, negotiation of the transaction documentation (governed by English law), and work on additional documents regulating the target company’s operations subsequent to its takeover by Sescom. Apart from that, we drew up and negotiated the credit facility documentation pursuant to which Sescom obtained financing for this acquisition, including collateral documents governed by English law.
Sescom S.A., listed on the Warsaw Stock Exchange since 2018, is a provider of technical facility management services in 25 European countries, working for 60 international clients and servicing over 40,000 facilities. Sescom relies on its own technologies and on tried-and-tested technical solutions, managing fixed assets and dispersed technical infrastructure at all stages of its usable life for entities in, among other industries, retail and real estate. While drawing on almost fifteen years’ experience in the market, Sescom also looks to the future, working on energy efficiency projects and hydrogen technologies.
PCB Technical Solutions is a company active in the British market for HVAC (heating, ventilation, air conditioning) and technical solutions.
