We advised ACP Credit I SCA SICAV-RAIF being a fund registered in Luxembourg, in financing transaction in the form of loans extended to four Polish law companies from the capital group of Pollen Street Capital Holdings Limited.
The maximum amount of the Fund’s commitment under the loans is EUR 10,500,000.00. The amounts extended by the Fund may be applied by borrowers for financing or refinancing of costs related to acquisition of shares in other companies and repayment of existing financial indebtedness, as well as for financing their day-to-day operations.
In particular, we were responsible for:
- preparing and negotiating the finance documents governed by the laws of Poland, i.e. the loan agreement and security documents, including pledges overs shares, assets and bank accounts, declarations on submission to enforcement, the subordination agreement and corporate guarantee;
- verification of conditions precedent necessary for disbursement of loans by the Fund;
- monitoring the post-closing obligations resulting from finance documents;
- preparing two Due Diligence reports (legal and tax);
- coordination of works with the British law firm responsible for issuing a legal opinion concerning a sponsor of borrowers.
