We advised Enterprise Investors on its investment in BISAR S.A.

We advised Enterprise Investors on various aspects of this complex project, which included conducting legal due diligence, preparing and negotiating transaction documentation and representing Polish Enterprise Funds SCA in proceedings before the President of the Office of Competition and Consumer Protection (UOKiK) concerning consent for a concentration involving the acquisition of control over Bisar S.A. and its subsidiaries.

On GESSEL’s part, the transaction was led by a multidisciplinary team led by Marcin Macieszczak, the firm’s managing partner. In particular, Michał Boryczka, managing associate coordinated the due diligence, Krzysztof Jasiński, managing associate and Diana Strzałkowska, senior associate were involved in the work on the transaction documentation, and Bernadeta Kasztelan-Świetlik, partner and Karolina Olszewska, associate were responsible for the preparation of the antitrust notification.

Bisar S.A. and its subsidiaries are mainly engaged in process outsourcing and are active in the HR and APT services market.
