We advised the Avallon MBO fund in the process of preparing, negotiating and signing transaction documentation for the acquisition of a majority stake in SAT sp. z o.o., based in Poznań – a company developing the S’portofino brand. Our support also included conducting the legal due diligence process. The closing of the transaction is conditional, in particular, on obtaining the approval of the President of the Office of Competition and Consumer Protection.

The transaction was led by Maciej Kożuchowski, partner, legal counsel together with Katarzyna Olszak, senior associate, legal counsel, assisted by Majka Rucińska, senior associate. The due diligence team was coordinated by Katarzyna Olszak. Bernadeta Kasztelan-Świetlik, partner, legal counsel, and Karolina Olszewska, associate, were responsible for the antitrust analysis and preparation of the application for the approval of the President of the Office of Competition and Consumer Protection.

SAT sp. z o.o. has been operating since 1990, originally as a distributor and representative of premium sports brands specialising in ski-related offers. The company is present on the Polish market, as well as on foreign markets, functioning as a concept combining sport and fashion. It is a carefully selected and chosen portfolio of more than 110 premium brands for the discerning customer, as well as a strong e-commerce site, sportofino.com. The company focuses on omnichannel sales based on a network of 7 flagship shops located in prestigious locations in Poland, and after entering foreign markets in 2018, it is also experiencing rapid growth in the online channel in Europe. Wholesale is also an important part of SAT sp. zo.o.’s business.

Avallon MBO is an experienced and trusted investor in management buyouts. He has been investing in companies together with managers for almost 25 years. He has participated in more than 100 transactions and the total value of the funds he has raised for investment is more than EUR 300 million.

This is the seventh transaction under Avallon MBO Fund III, and the second in the last month (both of which were carried out with the support of GESSEL).
