We provided comprehensive legal support to Polish Enterprise Fund VII (PEF VII), a private equity fund managed by Enterprise Investors, in the transaction for sale of the JNT Group – one of the largest producers and distributors of wines in Poland – to its manager, Jakub Nowak.

We provided comprehensive legal support for the transaction, including preparing the legal documentation and representing the Seller during negotiations. The transaction requires the antimonopoly approval.

We have been involved in Enterprise Investors’ investment in JNT from the very beginning. In 2017, GESSEL Law Firm provided comprehensive legal assistance to Enterprise Investors in the acquisition of JNT from its previous owners, and in subsequent years advised on strategic actions undertaken by Enterprise Investors and JNT, including advisory services regarding the acquisition of Platinium Wines.

Transaction was led by Krzysztof Jasiński with the support of Marcin Walczak, and Karolina Krzal Kwiatkowska, who was responsible for antimonopoly approval.

The whole process was overseen by Marcin Macieszczak.

JNT is one of the largest producers, importers, and distributors of wines in Poland. Its portfolio includes wines, vermouths, ciders, low-alcohol beverages, hard seltzers, hard lemonades, and RTD beverages. Flagship products include Monte Santi, Grzaniec Galicyjski, and Barmańska.

Enterprise Investors is one of the largest private equity firms in Central and Eastern Europe. It has been operating since 1990 and has established ten funds. These funds have invested or committed to invest a total of EUR 2.3 billion in 155 companies and have concluded investments in 139 companies.
