We advised Polish Enterprise Fund VII (PEF VII) in the sale of the JNT Group

08.02.2024 Case studies Mergers and acquisitions (M&A)

We provided comprehensive legal support to Polish Enterprise Fund VII (PEF VII), a private equity fund managed by Enterprise Investors, in the transaction for sale of the JNT Group – one of the largest producers and distributors of wines in Poland – to its manager, Jakub Nowak.

We provided comprehensive legal support for the transaction, including preparing the legal documentation and representing the Seller during negotiations. The transaction requires the antimonopoly approval.

We have been involved in Enterprise Investors’ investment in JNT from the very beginning. In 2017, GESSEL Law Firm provided comprehensive legal assistance to Enterprise Investors in the acquisition of JNT from its previous owners, and in subsequent years advised on strategic actions undertaken by Enterprise Investors and JNT, including advisory services regarding the acquisition of Platinium Wines.

Transaction was led by Krzysztof Jasiński with the support of Marcin Walczak, and Karolina Krzal Kwiatkowska, who was responsible for antimonopoly approval.

The whole process was overseen by Marcin Macieszczak.

“The sale of the JNT Group is another transaction in which we have the honour and pleasure to support Enterprise Investors! The opportunity to participate in the Ei’s exit transaction from the JNT group was a true satisfaction for our law firm, as we closed the full investment cycle, from the buyout nearly 7 years ago, through key actions and strategic initiatives to the exit. The experience of many years of cooperation with our Client allowed us to effectively carry out legal work within the sale process.”

Marcin Macieszczak, Managing Partner of GESSEL Law Firm
