GESSEL advised BetaMed in the transaction with Air Liquide

GESSEL advised BetaMed S.A. in a transaction with Air Liquide.

“This acquisition will allow the Group to strengthen its presence in Poland and extend the scope of services to support patients suffering from complex forms of chronic diseases,” reads the Air Liquide announcement.

The advisory services provided by GESSEL were comprehensive and included, inter alia, development of the transaction structure, preparation and negotiation of transaction documentation and support in closing the transaction.

GESSEL also supported BetaMed in matters of tax law and labor law, as well as in extremely complex proceedings before the President of the Office of Competition and Consumer Protection – at the beginning of September this year. The President of UOKiK issued a conditional consent to the takeover of the company.

The project was led by Michał Bochowicz, partner. The transaction team consisted of: Weronika Zdeb, senior associate, Michał Osowski, senior associate and associates: Katarzyna Zarzycka and Rafał Smolik. Bernadeta Kasztelan-Świetlik, partner, was responsible for issues related to competition and consumer protection, Inarda Bielińska, of counsel, for tax matters, and Agnieszka Nowacka, senior lawyer for issues related to employment law.
