GESSEL provided comprehensive legal support to the founders and majority shareholders of R2G Polska Sp. z o.o., operating under the trademark Apaczka (provider of comprehensive e-commerce services), in their sale of a stake to a subsidiary of the Abris CEE Mid-Market III LP fund managed by Abris Capital Partners Ltd.

GESSEL advised Alterium Holding Sp. z o.o., the minority shareholder of MZN Property S.A.,on the transactionas a result of which Ringier Axel Springer Media AG issued a call for subscriptions for sale of 100% of the shares in MZN Property S.A. MZN Property manages a technological and financial platform for searching out, financing and execution of real estate transactions. Its comprehensive offering of fintech solutions for the real estate market includes, among others, and FinPack, software for comparing mortgage and credit products.

GESSEL advises the founders and majority shareholders of inFakt Sp. z o.o., a leading Polish provider of online accounting solutions for sole traders as well as corporate entities, in sale of a majority stake to Visma – a global provider of software and cloud-based services for the SME sector, with an especially strong presence in the north of Europe.

GESSEL provided comprehensive legal services to Simple S.A. and its key shareholders with respect to the call to sell Simple S.A. shares announced by Total Specific Solutions, a member of the Constellation Software Inc. group. Simple S.A. is a publicly listed IT company with over 30 years’ experience and a broad portfolio of innovative management systems for applications in HR, finances, production optimisation, budgeting, and project accounting.

GESSEL provided comprehensive legal and tax advice the owner of MotionVFX – a global leader in creation of templates and plug-ins for Final Cut Pro and for Apple Motion, on the process of sale of the business to Nextline (this was the first Polish transaction involving a search fund – an entity performing a management buy-out with the support of global investors).

GESSEL provided a multi-faceted legal services package in relation to the transaction for sale of the enterprise of Krakow-based Veracomp S.A., a provider of information and communications solutions for Value Added Distribution systems, to a member of the multinational Exclusive Networks group.

GESSEL provided comprehensive legal support to a group of individuals co-investing with Custodia Capital and providing equity financing in a management buy-out of Atende Software sp. z o.o., a leading provider of technological solutions for internet television and cyber security and a member of the Atende group, a major player in Poland’s IT sector.

GESSEL advised btov Partners, a Luxembourg fund, on its investment in Neptune Labs – a producer of software for streamlining machine learning models.


GESSEL supported OEX S.A., a leading Polish provider of sales and customer service technologies and solutions, in its investment in iPOS S.A. – the creator of a pioneering device for retailers which combines the functionalities of a tax-compliant transactions register and an electronic payments terminal within a single package

GESSEL represented the Sunfish Partners fund in an investment round which involved its joining with Chiratae Ventures and Joyance Partners to invest in Aether Biomedical, a firm concentrated on medical robotics, working on technologies for processing of biosignals to design and improve bionic devices for amputation patients.

We advised on a financing round for SonarHome, an iBuying start-up.

GESSEL advised a private investor on an investment in (operator of laser hair removal salons in Poland and the UK, inventor of a unique laser and a pioneer in AI applications for the beauty sector).
